Toyo Ventures Shareholders Propose To Take Company Private

KUALA LUMPUR, Oct 19 (Bernama) -- Toyo Ventures Holdings Bhd (TVHB) substantial shareholders Eng Lian (L) Inc and Bukit Asa Sdn Bhd (Bukit Asa) have proposed a selective capital reduction and repayment (SCR) exercise to privatise the company.

In a filing with Bursa Malaysia today, the ink manufacturer said shareholders have asked for the SCR exercise, and the board to present the proposal to non-interested shareholders for approval.

“On completion of the proposed SCR, all the shares held by the entitled shareholders as at the entitlement date will be cancelled, resulting in the non-entitled shareholders holding the entire equity interest in TVHB.

“The entitled shareholders will receive a cash repayment of RM0.28 for each share held by the entitled shareholders on the entitlement date,” it said.

As at Oct 13, 2026, TVHB’s issued share capital was about RM192.7 million comprising 165.90 million shares.

TVHB said the proposed SCR is an opportunity for entitled shareholders to exit and realise their investments at a premium over the prevailing market price.

“On completion of the exercise, the group will have greater flexibility to allocate its resources towards its core businesses, manage its capital requirements and undertake such operational and strategic measures as may be necessary to support its long-term business objectives,” the filing said.

TVHB will go private, which will reduce the costs and management resources needed to maintain its listing status on the Main Board, the filing said.

The substantial shareholders have appointed RHB Investment Bank Bhd as the principal adviser for the proposed SCR.

In a separate filing, Bursa Malaysia said TVHB shares will resume trading with effect from 9 am, Oct 20, 2026 (Tuesday).

Trading in TVHB shares was suspended at 9.29 am today at the company's request. Its shares opened at 24.5 sen today versus 24 sen at last Friday’s close.
